Sales Specific Terms & Conditions – Maxis Solar Financing & Leasing Program (“SSTC”)

Version dated 1st September 2026.

    1. Leasing Partner: means ORIX Credit Malaysia Sdn. Bhd. (Registration No. 198101000999 (0067108-U)) or such other leasing partner as Maxis in its sole discretion may designate from time to time.
    2. Offer: means the option to finance the purchase of a Maxis Solar PV System through an approved leasing arrangement in accordance with the Program, subject to credit approval by the Leasing Partner.
    3. Participating Maxis Plan(s): means the Maxis Commercial & Industrial Solar program, subject to applicable terms and conditions available at:
      https://www.business.maxis.com.my/en/terms-conditions/solar/commercial-&-industrial-solar (“SSTC – Maxis Commercial & Industrial Solar”).
    4. Program: means the Maxis Solar Financing & Leasing Program.
    5. Solar PV System(s): means the solar photovoltaic system and its components provided by Maxis to you pursuant to the SSTC – Maxis Commercial & Industrial Solar.
    6. You or your: means the business/entity purchasing the Solar PV System under any Participating Maxis Plan(s) and under the Program.

    Governing Terms

    1. The Program and your participation in it are subject to:
      1. the General Terms & Conditions – Maxis Green (“General T&C”) (as may be amended by Maxis from time to time), available athttps://www.maxis.com.my/en/terms-conditions/general/solar/;
      2. the SSTC – Maxis Commercial & Industrial Solar; and
      3. this Sales Specific Terms & Conditions – Maxis Solar Financing & Leasing Program (“SSTC”),
        (collectively referred to as the “Agreement”).
    2. Definitions
      Capitalised terms not otherwise defined herein shall have the meanings ascribed to them in the GTC and the SSTC – Maxis Commercial & Industrial Solar.
    3. Order of Precedence
      In the event of any conflict or inconsistency between the documents forming part of the Agreement, such conflict or inconsistency shall be construed in the following order of precedence (in descending order):
      1. this SSTC
      2. SSTC – Maxis Commercial & Industrial Solar; and
      3. General T&C.
    4. Right to Vary
      Maxis reserves the right, without liability, to vary, add to, remove or otherwise amend this SSTC, the Program, pricing, and/or any other applicable terms at its sole discretion. Where reasonably practicable, advance notice of such changes will be provided in any form as Maxis deems reasonable and appropriate. Maxis will not be liable to you and/or any third party for any loss (including loss of revenue), loss of services or inconvenience as a result of such variation, addition, removal or otherwise any amendment thereof. Notwithstanding the above, your continued participation in the Program after any such variation, addition, removal or otherwise any amendment shall constitute acceptance of by you of such variations, additions or amendments and you will be bound by the same.
    1. In order to be eligibile to participate in the Program, you must:
      1. be a business or organization registered in Malaysia with Suruhanjaya Syarikat Malaysia (“SSM”);
      2. be registered with TNB as a Commercial or Industrial Customer; and
      3. successfully obtain credit approval from the Leasing Partner.
    2. You are not eligible to participate in the Program if:
      1. you have any outstanding payments with Maxis and/or Maxis Broadband Sdn. Bhd.;
      2. you fail the credit profile assessment conducted by the Leasing Partner; and/or
      3. you are an residential user.
    3. Notwithstanding the above, eligibility to participate in the Program is subject to the approval and absolute discretion of Maxis and the Leasing Partner.
    1. You shall be solely responsible for the payment of:
      1. any upfront payment or deposit, as may be required by Maxis and/or the Leasing Partner;
      2. all applicable lease instalments payable to the Leasing Partner pursuant to the relevant leasing agreement entered into between you and the Leasing Partner; and
      3. any charges associated with the Participating Maxis Plan(s),
        excluding applicable taxes.
    2. Notwithstanding the above, all payments under the leasing arrangement shall be governed by a separate agreement entered into between you and the Leasing Partner. Maxis is not a party to the leasing agreement and shall not be responsible for any obligations arising under it.
    1. In order to participate in this Program, you must:
      1. subscribe to a Participating Maxis Plan;
      2. submit all documents required for, and pass, the credit profile assessment conducted by the Leasing Partner; and
      3. obtain approval from the Leasing Partner.
    2. Maxis may collect the necessary documents on behalf of the Leasing Partner to facilitate the credit profile check.
    3. Installation of the Solar PV System will only proceed after:
      1. approval is obtained from the Leasing Partner; and
      2. all required agreements are duly executed; and
      3. any initial payment or deposit has been received.
    1. If your leasing application is rejected by the Leasing Partner, the Offer shall automatically lapse, and no penalty will be imposed on you.
    2. Any withdrawal after leasing approval is granted but before installation may be subject to administrative or cancellation charges, as determined by Maxis in our sole discretion.
    1. During the leasing period, you shall not:
      1. terminate or suspend the Participating Maxis Plan(s);
      2. downgrade or otherwise change the Participating Maxis Plan(s); or
      3. sell, assign, transfer, pledge, mortgage or otherwise encumber the Solar PV System, nor permit any lien or charge to be created over the Solar PV System prior to full and complete settlement of your repayment obligations under the leasing agreement.
    2. Failure to comply with the above restrictions may result in termination of the Offer.
    3. The Offer is not transferable, redeemable for cash, refundable, or exchangeable.
    4. Maxis reserves the right to withdraw or forfeit the Offer if fulfilment becomes impossible or is unsuccessful for any reason.
    5. Maxis’ decision on eligibility and participation shall be final and conclusive, and no appeal will be entertained.
    1. The Agreement shall be governed by and construed in accordance with the laws of Malaysia. Parties agree to submit to the exclusive jurisdiction of the courts of Malaysia, provided however, where any claims, proceedings, actions, suits or dispute arising from or in connection with the Agreement is to be commenced or adjudicated in the courts of Malaysia, Maxis shall nevertheless have the right to file any action in any court which has jurisdiction over the matter, and you shall waive any objection on the ground of forum non conveniens.
