Service Specific Terms & Conditions (“SSTC”) - Autocount Cloud Accounting

Version 30 April 2025

    1. Service(s): Autocount Cloud Accounting and E-invoicing Software. The Service is a cloud accounting and e-invoicing software-as-a-service (SaaS) offered as a subscription by Maxis to the Customer.
    2. Offer: The Service(s) is only available through redemption of loyalty points under the enterprise loyalty program (“Loyalty Program”) in accordance with Loyalty Program SSTC (as defined below) and this SSTC.
    3. Plan(s): Autocount Lite (12-month subscription), Autocount Basic (12-month subscription), Autocount Plus (12-month subscription), Autocount Lite (24-month subscription), Autocount Basic (24-month subscription), Autocount Plus (24-month subscription),
    4. You” or “Customer”: The Business Customer signing up for the Service(s).
    5. The use of the Service(s) is subject to the General Terms & Conditions (“GTC”),  this Service Specific Terms & Conditions (“SSTC”), Summary Terms and Conditions (“STC”), Maxis Fair Usage Policy, Maxis Group Privacy Notice and any other applicable terms and conditions, all at https://www.business.maxis.com.my/en/terms-conditions
    6. Capitalised terms herein have the same meaning as defined in the GTC.
    7. Further, the Offer is subject to the Service Specific Terms & Conditions – Enterprise Loyalty Program available at https://www.business.maxis.com.my/en/terms-conditions/campaigns/enterprise-loyalty-programme/ (“Loyalty Program SSTC”) and by subscribing to the Service(s) under the Offer, you agree to be bound by the Loyalty Program SSTC.
    8. We reserve the rights without liability, from time to time, to vary, add to, remove or otherwise amend this SSTC, the manner in which the Offer is conducted and/or discontinue, interrupt, bar, suspend, restrict and/or terminate the Plan(s) (whether in whole or in part) at any time as we deem fit whether with or without prior notice to you and will not be liable to you and/or any third party for any loss (including loss of revenue), loss of services or connectivity or inconvenience as a result thereof.  Where no prior notice is provided, Maxis will to the extent commercially practicable provide you with prior notice of such changes in any form as Maxis deems reasonable and appropriate. The prevailing terms and conditions of this SSTC and/or the Offer will be updated on our official website from time to time, whereby the updated terms and conditions will apply and supersede all previous versions. Your continued use of the Service(s) after any changes to the terms and conditions of this SSTC is effective will constitute unconditional acceptance by you of such variations, additions or amendments and you will be bound by the same.
    9. All charges and prices stated are exclusive of all applicable taxes. Any applicable taxes shall be charged and added to the bills issued to you.
    10. Any conflict or inconsistency between this SSTC, the GTC and STC, shall be construed in the following order of precedence: (a) this SSTC; (b) GTC; and (c) STC.
    11. Any conflict or inconsistency between this SSTC and the Loyalty Program SSTC, this SSTC shall take precedence.
    12. If any of the provision in these terms and conditions is held to be invalid, illegal and unenforceable under any applicable law or court of law or by any reasons whatsoever, the legality and enforceability of the remaining provisions shall not be affected or impaired in any way and such invalid, illegal or unenforceable provision shall be deemed deleted.
    13. You acknowledge and agree that by using the Internet in general, you may be subject to various risks, including amongst others:
      1. unauthorised invasion of your privacy during, or because of, you or another party’s use of the network; and
      2. unauthorised exposure of information and material you listed or sent, on or through the Services, to other users, the public or any other specific entities for whether the exposure of information and material was intended by you.
    1. The Services is available to active Maxis Business customers enrolled in the Loyalty Program and eligible to redeem the points in accordance with the Loyalty Program SSTC.
    2. Your account must be in good standing with sufficient points under the Loyalty Program required to subscribe for the Plan(s).
    3. Your account must be in good standing, with no outstanding balances, and BCC (Business Credit Check) must be approved.

    1. For the avoidance of doubt, the loyalty points do not carry the equal value of the actual price and Maxis has discretion to fix the loyalty points required to subscribe for the Plan(s). The actual price value of the Service(s) is provided for reference only and you are not entitled to claim any remedies based on the actual value of the Service(s).
    1. During the Term (as defined below), you may access and use the Service(s).
    2. AutoCount (as defined below) retains all rights, title, and interest and to the Service(s), including without limitation all software included in and used to "provide" the Service(s) and all logos and trademarks reproduced through the Service(s). This SSTC does not grant you (a) any right to reproduce, modify, distribute, or publicly display or perform the software included in the Service(s) or (b) any other right to the Service(s) not specifically mentioned in this SSTC.
    1. Redemption is final. Once a request is submitted via Maxis Business Hub in accordance with the Loyalty Program SSTC, no cancellation, change, or retraction by you is allowed for the subscription of the Service(s).
    2. Maxis will not entertain any refund or replacement request after successful submission and processing of the redemption under the Loyalty Program.
    3. If your redemption is rejected (e.g. due to outstanding balance or BCC rejection), used points will be refunded to your wallet.
    1. The loyalty points redemption is applicable for the one-time upfront payment for the subscribed Plan(s).
    1. Where applicable, the provision of the Service(s) shall continue for twelve (12) or twenty-four (24) months depending on the subscribed Plan(s) (“Term”) (as indicated in the submission under the Loyalty Program). Upon expiry of the Term, the Service(s) will be terminated after the respective period, with no automatic renewal.
    2. You are not allowed to terminate the Service(s) during the Term. If in any circumstance the Service(s) is terminated by you, the loyalty points redeemed under the Offer will not be refunded to you.
    3. You acknowledge and agree that: (i) where you are bound by or otherwise subject to the Terms of Subscription imposed by AutoCount for the Service(s), AutoCount may have the right to terminate the Terms of Subscription and your usage of the Service(s) and (ii) where such termination is exercised by AutoCount, Maxis has the right to cease supply of the Service(s) to you without any liability to compensate you for the same.
    1. Any renewal, upgrade, or add-on services will be subject to availability and can only be subscribed if Maxis explicitly opens the option for subscription.
    2. Customers will be notified via Maxis Business Hub if/when such options become available for future purchase.
    1. Redemption of the points under the Loyalty Program must be made via Maxis Business Hub in accordance with the Loyalty Program SSTC.
    2. Processing and activation of the Service(s) will be completed within 7 working days upon successful verification.
    3. You can check status on redemption of the points under the Loyalty Program in Maxis Business Hub.
    1. You acknowledge and agree that you shall:-
      1. adhere to the terms and conditions herein and at https://accounting.autocountcloud.com/docs/eula-cloud-accounting-2022.html  (“Terms of Subscription”);
      2. not carry out or permit to be carried out any additions, improvements, adjustments, modifications, alterations or replacements, reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the Service(s), in whole or in part without the prior written consent of AutoCount;
      3. retain the Service(s) at all times in the custody and control of yourself and not permit any third party to use the Service(s). Use of te Service(s) by any third party shall be deemed to be use of Service(s) by you;
      4. be solely responsible for any data transmitted or broadcasted (whether authorised by you or not) and the security of any data/information retrieved, stored or transmitted and managing the use of the storage capacity for your data/information to ensure it is within the capacity allocated to you. We are not liable for any unauthorised access to any data/information notwithstanding the cause of such unauthorised access and shall have no obligation to back up or manage the data/information;
      5. The Service(s) shall continue even if you suspend the mobile line(s) and/or any other Maxis services;
      6. use all precautions to prevent and report immediately to us and/or AutoCount upon the discovery of, any fraud, unauthorised usage, or any other unlawful acts. You agree to lodge a police report whenever instructed by us and/or AutoCount and to give us and/or AutoCount a certified copy of such report;
      7. not use or permit the use of the Service(s) or install, connect, link or use or permit the installation, connection, linking or use of any equipment in contravention of any law or which generates or is likely to generate traffic or usage which causes or is likely to cause congestion in or disruption to the provision or operation of any service by us or any other service provider;
      8. use the Service(s) according to the specifications, guidelines as stipulated in the Terms of Subscription and recommendations provided by AutoCount and/or Maxis and shall immediately disconnect or cease to use Service(s) at our and/or AutoCount’s request;
      9. be responsible for obtaining and maintaining all licenses, permits, consents, authorisations and intellectual property or other rights required for the use of the Service(s) and other equipment and software in your name and at your expense;
      10. ensure that all other equipment and software used in connection with the Service(s) or part thereof are compatible, properly licensed and can properly function; and 
      11. not re-sell, re-supply, transfer or assign/novate the Service(s) under this SSTC in part or in whole to any person or organization.
    1. The Service(s) is provided by a (third-party) service provider, AutoCount Sdn. Bhd. (“AutoCount”). In no event shall Maxis, its personnel and/or its supplier be liable to you or any other party in contract, tort (including negligence or for breach of statutory duty whatsoever) or otherwise in respect of any claim brought by you or any other party for (a) any loss of profit or revenue or loss of opportunity, business, contracts, goodwill or anticipated savings or wasted expenditure; (b) loss, distortion, alteration, destruction or corruption of data or for interrupted or suspended communication; (c) any unauthorised access to transmission or data (notwithstanding the cause of such unauthorised access); and/or (d) any indirect, incidental, punitive and consequential damages, whether or not Maxis, its personnel and/or its supplier was or should have been aware of the possibility that such damage or loss would occur.
    2. You acknowledge that the Service(s) may be subject to limitations, delays and other problems inherent in communication facilities and network, including the internet. Therefore, Maxis shall not be responsible for any delays, delivery, failures or other damage or loss resulting from such problems.
      You are solely responsible for any Content, Application, Software or non-Maxis materials that you load into or use together with the Service(s) or create.
    1. Maxis will be your first point of contact for any support matters related to the Service(s), including service subscription, billing, and general inquiries. If your issue is determined by Maxis to be related to application functionality, technical configuration, or any software-specific matters that require specialist assistance, Maxis may direct you to contact AutoCount directly, or AutoCount may engage with you to resolve such issues. You may access AutoCount’s support through the channels available on AutoCount’s official website or any designated platform communicated to you.
    2. Direct engagement with AutoCount shall be strictly limited to resolving application or technical issues. All billing, subscription renewals, and upselling activities shall continue to be handled exclusively by Maxis.
